INDEPENDENT SERVICE PROVIDER AGREEMENT

Welcome to NeatlyLive. This Independent Service Provider Agreement ("Agreement") governs your registration, onboarding, access, and use of the NeatlyLive platform as an independent professional cleaner or cleaning service business ("Provider," "Professional," "you," or "your"). By signing up, registering your business, completing the platform screening, or accepting a cleaning project through NeatlyLive ("Company," "we," "us," or "our"), you expressly agree to be bound by this Agreement.
1. INDEPENDENT CONTRACTOR STATUS & PLATFORM ELIGIBILITY
You acknowledge and agree that your relationship with NeatlyLive is strictly that of an independent contractor, and nothing in this Agreement creates any partnership, joint venture, agency, or employment relationship. You maintain sole control over your schedule, methods, and specific execution of cleaning tasks.
Background Check Information & Eligibility Policy: To maintain platform standards and user safety, Providers must successfully pass initial screening evaluations. NeatlyLive does not keep, store, or archive your specific historical background check records or raw screening data on its servers. Background checks are run via authorized third-party consumer reporting networks exclusively to verify entry eligibility. Once your eligibility to receive cleaning opportunities is verified, the underlying report details are not retained by NeatlyLive.
2. MEMBERSHIP, VERIFICATION STATUS, & ACCOUNT CLOSURE
NeatlyLive provides a marketplace subscription and access model for cleaning professionals to connect with high-value consumer leads.
Right to Cancel: You may cancel or deactivate your service provider account at any time via your professional dashboard settings or by contacting Provider Relations.
ACCOUNT FEES & THREE-MONTH REFUND LOCK: While you can close your provider account at any time, if you deactivate, cancel, or default on your professional onboarding/membership profile within the first three (3) months of platform sign-up, you will receive ABSOLUTELY NO REFUND of any digital verification fees, platform access payments, or system setup fees. All introductory platform fees are non-refundable.
3. ABSOLUTE LIABILITY WAIVERS
As an independent operator utilizing NeatlyLive's technology platform to find clients, you assume full commercial risk for the services you execute.
- LIMITATION 1 — NO LIABILITY FOR PREMISES HARM: NeatlyLive functions strictly as a technology platform connecting independent cleaners with customers. NeatlyLive is entirely exempt from, and assumes absolutely no liability for, any physical harm, illness, injury, or bodily damage you, your personnel, or your independent teams may sustain while on a customer's premises or in transit to an assignment.
- LIMITATION 2 — NO LIABILITY FOR PROPERTY DAMAGE: NeatlyLive is not liable for, nor responsible to compensate or indemnify, any damaged items, goods, appliances, fixtures, electronic devices, walls, or furniture resulting from your performance or presence at a job site. You are solely responsible for executing care and maintaining your own commercial liability insurance policies to cover physical property damage claims brought by customers.
4. PROVIDER COMMUNICATIONS & MANDATORY ELECTRONIC SIGN-IN
By registering on the platform, you provide your express written consent to be contacted by NeatlyLive via automated channels to ensure job delivery transparency, scheduling synchronization, and account security notifications.
This consent explicitly includes, but is not limited to, receiving:
- Onboarding, job notification, and platform administrative emails.
- Real-time customer logistics, SMS text notifications, and system dispatch alerts.
- Direct phone coordination and platform verification calls.
You may manage non-essential marketing preferences within your dashboard, but you agree that operational text messaging and direct contacts are structurally necessary for platform access and service fulfillment.
5. PROFESSIONAL DATA PRIVACY
NeatlyLive is committed to managing your professional identity data responsibly. We will not sell, market, or rent your personal data or business identity documents to third parties without your explicit consent. Your details are utilized solely for facilitating digital secure payouts, match processing algorithms, customer coordination, and identity verification checks.
6. RIGHT TO MODIFY PLATFORM AND AGREEMENT TERMS
NeatlyLive reserves the right to modify, adapt, alter, or update this Agreement, platform commission splits, lead fees, or operational guidelines at any time. You will be notified via the primary email address linked to your provider account if these terms change. Continued log-in to the platform, acceptance of job requests, or preservation of an active profile following an email notice constitutes definitive acceptance of the newly revised terms.
7. WORK STANDARDS, CANCELLATIONS, & LATE POLICIES
- Service Quality: You agree to perform all accepted jobs in a professional, industry-standard manner. If a customer files a valid claim regarding substandard execution, you agree to re-clean the disputed area at your own expense or forfeit the proportional payout.
- Job Forfeiture / Late Arrival: If you accept an assignment and fail to show up, or arrive more than twenty (20) minutes past the customer's arrival window without adequate communication, you may be penalized with a platform late fee, and repeated offenses will result in immediate termination of platform privileges.
8. GOVERNING LAW & DISPUTE RESOLUTION
This Independent Agreement shall be governed by, and construed under, the laws of the jurisdiction in which NeatlyLive operates. Any disputes, claims, or controversies stemming from your platform work that cannot be resolved amicably shall be settled exclusively via binding arbitration or the appropriate designated courts of the operating jurisdiction.
